These terms and conditions apply to each request for a quote from eTranslation Services

General terms and conditions for Translation and Interpreting services.

  1. The General Business Terms and Conditions shall constitute the basis for all contracts entered into by the Client and eTranslation Services.
  2. The Client and eTranslation Services shall enter into a contract when the Client accepts the Quote in writing.
  3. Changes to or the revocation of the accepted conditions of the contract shall be subject to the consent of both Contracting Parties.

 

  1. Definitions

1.1 For the purpose of these Terms and Conditions “the Company”, “we”, “our” or “us” refers to eTranslation Services

1.2 “Client” or “you” represents the company, firm, body, organization, or person contracting eTranslation Services to undertake service(s) on its behalf.

1.3 “Agreement” is defined as the agreement between the Client and the Terms and Conditions of eTranslation Services.

1.4 “Order” means a confirmed quote request by you for our Services.

1.5 “Services” means translation or interpreting services performed by us for you.

1.6 “Work materials” means any information or documentation communicated or transmitted to us by you in order to perform the Services provided herein.

1.7 “Confidential Information” means information (in any form) which is confidential either to you or to us and which is disclosed to each other in connection with the Services.

1.8 “Working Hours”, we work Monday through Friday 9am – 6pm EST 


Upon approving a Quote, the Client enters into a binding Agreement with the Company, covered by the following Terms and Conditions:

  1. Services

2.1 No contract exists until there is an Accepted Quote between the Client and eTranslation Services. Once there is an Accepted Quote, a ‘Contract’ is formed between the Client and eTranslation Services in respect of the Services described in that quote.

2.2 eTranslation Services will issue a Quote after receiving a request from the Client for translation or interpretation services.

2.3 Non-Certified Translations will be quoted per word. Certified Translations are quoted per page based on the page word count. OPI services will be charged per minute. 

2.4 eTranslation Services reserves the right to decline to provide a Quote or to provide any translation services if the Source Materials contains any material which we feel is offensive, obscene, contrary to any law.

  1. Quotes

3.1 Quotes are not binding and are given subject to confirmation by the Company upon receipt of the Client’s order. No Agreement shall be concluded until the Client approves and confirms the Quote. 

3.2 Written Quotes remain valid for 30 days after the initial Quote day.

3.3 Quotes are based on the documents and/or information provided by the client. Preliminary Quotes are based on the description given to eTranslation Services at the time of the initial request and are subject to change once the actual documents are received.

3.4 Information provided in the Company’s website or other published material is a general description only and does not form part of these Terms and Conditions.

3.5  eTranslation Services has no responsibility to review the quality of the Source Materials for typographical or any other errors and has no liability to review the Source Material for or to correct any errors or omissions contained in any source document despite the character of such errors or omissions and despite the impact that such errors or omissions may have on the quality of the Deliverables.

3.6 eTranslation Services will issue the Deliverables to the Client in accordance with our standard practices and procedures applicable at the time or as otherwise specified in the Quote. We will use reasonable endeavors to issue the Deliverables on or before the agreed delivery date/time.

  1. Payment

4.1  All payments are due upfront unless otherwise stipulated. 

4.2 Rates for translation services are set with respect to: kind of translation, language combination, demands of the text, quality of a source text, required delivery date, required graphic layout, file format or other Client’s requirements.

4.3  All prices are in USD and exclude taxes. Payment is requested by credit card or direct bank transfer unless otherwise specified in writing on the invoice. 

4.3.1 Quotes in a currency other than USD are based on the rate of exchange at the time of the quote and, unless otherwise stated, the price is subject to exchange rate fluctuations at the date of the invoice.

4.4  eTranslation Services will issue an invoice immediately upon receiving approval of the Quote.

4.5  Once the translation has begun, the Client may not cancel the job.

4.6  If eTranslation Services fails to complete the translation within the quoted time period, a refund of 5% of the agreed-upon fee per day over the time limit will be awarded to the Client.

4.7  Net-30 Clients: there will be a 4% late fee added to the final price for each week that the invoice is not paid after 30 days.

4.8 eTranslation Services has the right to set an extra charge for work during weekends and holidays, for translation or transcription of audio or video recordings, translation of poorly legible texts or express translations (more than 2500 source words in one working day and per one translator).

4.9 Failure to pay any invoice in accordance with these Terms and Conditions or any others specified in writing at the time, shall entitle us to suspend further work both on the order being worked on and any future orders.

  1. Completion of Work

5.1 A date for delivery given in the quote is as an estimate only. We will make every effort to meet such an estimated date but shall not be liable in any circumstances for the consequences of failure to deliver or perform if the delay or failure is because of the non-delivery or non-performance by its sub-contractors. In the case of a disaster (Strike, Industrial Dispute, Civil Commotion, Natural Disaster, Acts of War) we shall inform the Client immediately, indicating the circumstances. While we’ll make every effort to satisfy the Client’s necessities, late delivery shall not entitle the Client to withhold payment for services provided.

5.2 The Client and the Company may, at any time after the original quote date, may agree to a further date for delivery, and if delivery does not take place by such date, no charge will be made to the client, and the Contract will be considered cancelled.

5.3 The Company reserves the right to sub-contract all or part of the work to a contractor(s) of its choice. 

  1. Confidential Information

 6.1. Both parties agree not to use nor disclose to third persons any of the other party’s Confidential information.

6.2. Either party may disclose Confidential Information of the other only if and when any of the below apply:

(i) When required to do so by law or a  governing authority:
(a) The company will immediately notify the client of any such requirement, and
(b) Co-operates with the client regarding the manner, scope or timing of such disclosure or any action the client may take to challenge the validity of such requirement.
(ii) To its (or any of its associated company’s) personnel, sub-contractor’s personnel or any person whose duties reasonably require such disclosure;
(a) Is informed of the confidentiality under these Terms and Conditions, and
(b) Complies with those obligations as if they were bound by them.
